1. Introduction & Definitions
Welcome to NXTGEN BIZ & Co. By purchasing any service from NXTGEN BIZ & Co., you (“Client,” “you,” or “your”) enter into a binding legal agreement with NXTGEN BIZ & Co. (“Company,” “we,” “our,” or “us”).
1.1 Definitions
For purposes of these Terms & Conditions:
- “Service Agreement” means the specific service package purchased by the Client (RAVE-Growth, GTM-ED, Ads Launch + Performance Track, or Data Analytics & Lifecycle Optimization)
- “NXTGEN BIZ Team” means employees, contractors, and representatives of NXTGEN BIZ & Co.
- “Deliverables” means the specific outputs, reports, and services defined in each Service Agreement
- “Timeline” means the fixed duration and schedule specified for each Service Agreement
- “Client Materials” means creative assets, copy, brand guidelines, access credentials, and other materials required from the Client
- “Campaign” means the promotional activities executed as part of a Service Agreement
- “Platform” means social media, advertising, or community management platforms (Discord, Telegram, X, Farcaster, Google Ads, Meta Ads, etc.)
2. About NXTGEN BIZ & Co.
2.1 Legal Entities
NXTGEN BIZ & Co. is an experienced Web3 marketing and community growth consultancy specializing in blockchain ecosystems. The Company operates through two legal entities:
- NXTGEN BIZ & Co. PTE. LTD. (Singapore UEN: 202316244Z)
- NXTGEN BIZ & Co. LLC (United States)
With extensive expertise in Web3 community development, NXTGEN BIZ Team approaches every engagement from your business perspective, prioritizing your growth goals and community success.
2.2 Payment Processing & Administration
All payment processing, invoicing, and administrative functions are managed through carolzurita.com. Carol Zurita is the founder of NXTGEN BIZ & Co., and all banking accounts, payment processors, third-party vendor accounts, and operational systems are registered under carolzurita.com.
When you complete checkout:
- Payment is processed through carolzurita.com payment systems
- Invoices and receipts are issued from carolzurita.com
- Services are delivered by NXTGEN BIZ & Co. legal entities as defined above
This administrative structure does not alter the legal enforceability of this agreement or the Company’s obligations to deliver services as specified.

3. General Terms Applicable to All Services
The following terms apply to all service packages offered by NXTGEN BIZ & Co., unless explicitly superseded by service-specific terms in Section 4.
3.1 Payment Terms
3.1.1 Payment Timing
All services require 100% payment upfront before any work begins. No exceptions.
3.1.2 Accepted Payment Methods
- Stablecoin payments (USDT, USDC)
- Bank transfer or wire transfer
- Credit card (processed through carolzurita.com)
3.1.3 No Partial Payments
Payment must be made in full at the time of purchase. Installment plans, payment schedules, and partial payments are not accepted under any circumstances.
3.1.4 Client Responsibility for Fees
The Client is responsible for:
- All transaction fees
- Currency conversion fees
- Banking fees
- Applicable taxes
- Third-party vendor costs (ads, influencers, tools, subscriptions)
3.1.5 Price Validity
Current pricing is guaranteed through December 31, 2026. Pricing is subject to change without notice after this date. Clients seeking to renew services will not be eligible for initial purchase pricing.
3.2 No Refund Policy
NO REFUNDS ARE ISSUED UNDER ANY CIRCUMSTANCES.
Once services begin, no refunds are provided — regardless of campaign performance, business outcomes, or changes in client priorities. NXTGEN BIZ & Co. delivers all services as specified; results and market response are not guaranteed.
This no-refund policy supersedes any customary rights, cooling-off periods, or consumer protection laws unless expressly required by Singapore law and not excluded by contract.
Once work begins (defined as setup, preparation, account access granted, or any deliverable initiated), no refunds will be issued regardless of the stage of completion.
3.3 Client Obligations
By purchasing any service, the Client legally commits to the following:
3.3.1 Timely Communication
- Respond to NXTGEN BIZ Team requests within 48 hours
- Maintain regular communication throughout the service period
- Designate a single point of contact authorized to make decisions
3.3.2 Platform Access
- Provide required access to platforms, accounts, and tools within 48 hours of purchase
- Grant admin-level access where necessary (ad accounts, Business Manager, Tag Manager, GA4, social media accounts)
- Restricted or delayed access = inability to deliver on schedule = no refund
3.3.3 Client Materials Delivery
- Provide all required creative assets, copy, brand guidelines, and marketing materials on schedule
- Deliver materials in specified formats and specifications
- NXTGEN BIZ & Co. uploads and configures only — we do not create content, write copy, or design creative unless explicitly included in the service package
3.3.4 Professional Conduct
NXTGEN BIZ & Co. reserves the right to terminate services immediately if the Client engages in disrespectful, abusive, or excessively demanding behavior. No refunds will be issued in cases of termination due to Client misconduct.
3.4 Timeline & Deliverables
3.4.1 Fixed Timelines
All service timelines are fixed and non-negotiable. Service periods are defined in calendar weeks from the date of purchase and contract signature.
3.4.2 No Extensions Policy
Service timelines will not be extended for any reason, including Client delays, platform issues, or force majeure events.
3.4.3 Reduced Deliverables Due to Client Delays
If the Client causes delays (late material delivery, delayed platform access, slow approvals), NXTGEN BIZ Team will reduce deliverables (fewer AMAs, quests, activities, reports, or monitoring days) to fit the available time.
The Client acknowledges and accepts these potential reductions ahead of time. No refunds or price adjustments will be issued for reduced deliverables caused by Client delays.
3.5 Performance & Results
3.5.1 No Guarantees
NXTGEN BIZ & Co. executes services professionally and efficiently but does not guarantee specific results, including but not limited to:
- Number of leads, conversions, or sales
- Social media followers, engagement rates, or reach
- Ad performance metrics (CPA, ROAS, CTR, conversion rates)
- Community growth, retention, or activity levels
- Fundraising outcomes, investor interest, or capital raised
- Media coverage, press placements, or influencer performance
3.5.2 Client Accountability
The Client remains fully responsible for:
- All business decisions, product development, and strategic direction
- Campaign outcomes, business results, and financial performance
- Legal compliance, regulatory adherence, and licensing requirements
- Brand reputation, community experience, and customer satisfaction
NXTGEN BIZ & Co.’s role is limited to execution and reporting as outlined in the specific service deliverables.
3.6 Limitation of Liability
NXTGEN BIZ & Co. does NOT provide legal, financial, investment, or tax advice. The Client is exclusively and solely responsible for compliance with all applicable laws, regulations, and licensing requirements in their jurisdiction.
NXTGEN BIZ & Co. is NOT liable for:
- Any legal misinterpretation, regulatory noncompliance, or licensing failures by the Client
- Fines, penalties, enforcement actions, or legal proceedings against the Client
- Financial losses, lost profits, business interruption, or opportunity costs
- Third-party claims arising from the Client’s business operations, products, or campaigns
- Platform account suspensions, restrictions, bans, or policy violations
- Any damages exceeding the service fee paid by the Client
Maximum Liability: Under no circumstances shall NXTGEN BIZ & Co.’s total liability exceed the amount paid by the Client for the specific service package.
3.7 Governing Law & Jurisdiction
This contract is governed exclusively by the laws of Singapore, regardless of the Client’s location.
Dispute Resolution: Any disputes arising from this agreement are subject to:
- Good faith negotiation between parties (30 days)
- Binding mediation in Singapore (if negotiation fails)
- Binding arbitration in Singapore (if mediation fails)
All proceedings and communications will be conducted in English.
Geographic Restrictions (Token-Related Services Only)
The following services are NOT available to U.S. persons or entities:
- Token generation events (TGE) or token launch campaigns
- Initial DEX Offerings (IDO) or Initial Exchange Offerings (IEO)
- Token sale promotional campaigns
- Any marketing activities related to securities or investment contracts as defined by U.S. securities laws
All other services (community activation, general marketing, paid advertising setup, data analytics) are available to U.S. clients.
NXTGEN BIZ & Co. reserves the right to refuse services in any jurisdiction where such activities are not legally permitted. Any contracts inadvertently entered into for restricted services may be voided at the sole discretion of NXTGEN BIZ & Co.
3.8 Termination
The Client may not terminate the Service Agreement prior to its expiration date, except in the event of a material breach by NXTGEN BIZ & Co.
Material breaches are limited to:
- Breach of confidentiality or non-disclosure agreements
- Theft of Client assets
- Intentional misrepresentation or fraud
NXTGEN BIZ & Co. reserves the right to terminate the Service Agreement immediately if the Client engages in disrespectful, abusive, or excessively demanding behavior, or fails to provide required materials/access for more than 14 consecutive days. No refunds will be issued.
4. Service-Specific Terms
The following terms apply only to the specific service packages indicated. Service-specific terms supplement and, where applicable, supersede the General Terms in Section 3.
4.1 RAVE-Growth Package
4.1.1 Service Description
RAVE-Growth is a fixed-scope, 6-week Web3 community activation service.
Package Overview:
- Price: $999 USD (one-time payment)
- Duration: 6 weeks total (2 weeks preparation + 4 weeks promotional campaign)
What’s Included:
- 1 Core Progression Quest (customized point-based loyalty system)
- Up to 5,000 manual direct messages across X, Discord, Telegram, Farcaster
- 4 interactive AMAs with prizes
- 8 trivias and mini-challenges
- 6 days/week community moderation for 4 weeks
- 1 comprehensive growth report
What’s NOT Included:
- Rewards/prizes budget (Client provides)
- Premium platform subscriptions (Client provides)
- Ongoing services beyond 6 weeks
- Paid advertising setup or management

4.2 GTM-ED Package
4.2.1 Service Description
GTM-ED is an 8-week, single-project Go-To-Market acceleration package designed for seed-stage Web3 startups.
Package Overview:
- Price: $2,999 USD (one-time payment)
- Duration: 8 weeks (9 weeks if add-ons selected)
- Minimum Campaign Budget: $25,000 USD (paid directly to vendors)
What’s Included:
- Customized GTM Strategy & Execution Management
- Interactive Budget Modeling
- 4 Social Media Quests
- 4 Interactive AMAs
- 4 Weeks of Community Moderation
- 1 Loyalty Program
- Comprehensive Final Report
What’s NOT Included:
- Token sales or fundraising campaign management
- TGE (Token Generation Event) launch services
- Ongoing marketing retainers

4.3 Ads Launch + Performance Track
4.3.1 Service Description
Ads Launch + Performance Track is a 6-week technical ad execution service.
Package Overview:
- Price: $999 USD (one-time payment)
- Duration: 6 weeks (Week 1: setup + Weeks 2-5: monitoring + Weeks 6-7: reporting)
- Platform Coverage: Either Google Ads OR Meta Ads (not both)
- Minimum Ad Spend: $500/month (paid directly to Google/Meta)
What’s Included:
- Pixel installation (Meta Pixel OR Google Tag Manager + GA4)
- Conversion tracking setup
- Account structure (campaigns, ad sets, targeting)
- Ad creative upload (Client-provided)
- Budget allocation setup
- 4 weeks of daily performance monitoring
- Bonus: 2-week Lifecycle Report
What’s NOT Included:
- Ad creative design or copywriting
- Marketing strategy or consulting
- Ad spend budget (Client pays directly)
Performance Disclaimer: NXTGEN executes technical setup and monitoring only. We do not guarantee specific results (CPA, ROAS, conversions). Ad performance depends on factors outside NXTGEN’s control including creative quality, offer strength, product-market fit, and market conditions.

4.4 Data Analytics & Lifecycle Optimization
4.4.1 Service Description
Data Analytics & Lifecycle Optimization is a 7-8 week deep-dive analysis service.
Package Overview:
- Price: $1,300 USD (one-time payment)
- Duration: 7-8 weeks (Weeks 1-2: setup + Weeks 3-8: analysis)
- Eligibility: Ads must be running 1+ month OR paused less than 8 weeks
What’s Included:
- AARRR funnel mapping
- Churn identification and drop-off analysis
- CAC vs LTV:CAC ratio breakdown
- Hypothesis drafting
- Fix recommendations document
- Sales funnel audit
What’s NOT Included:
- Strategic roadmaps or implementation plans
- Ongoing consulting or account management

- Business Information: Type of business, target market, service requirements
We do NOT collect:
- Browsing behavior, cookies, or tracking data
- Sensitive personal information (income, political preferences, health data)
5.2 How We Use Your Information
- Communication: Service updates, inquiries, deliverables
- Service Delivery: Tailoring services to meet your needs
- Internal Analysis: Aggregated data (not personally identifiable)
We do NOT sell, rent, or share your personal information with third parties.
5.3 No Tracking
We do not track user behavior on our website. No cookies, web beacons, or tracking technologies are used.

6. Final Agreement & Acceptance
By purchasing any service from NXTGEN BIZ & Co., the Client affirms and acknowledges that they:
- ✓ Have carefully read, understood, and accepted all terms outlined in this document
- ✓ Accept and agree to the strict no-refund policy
- ✓ Are legally authorized and compliant to enter into this agreement
- ✓ Will provide all required budgets, cooperation, and resources
- ✓ Accept responsibility for all legal and regulatory compliance matters
- ✓ Acknowledge that service packages are fixed and cannot be modified after the preparation phase
- ✓ Understand that campaign delays caused by the Client may result in reduced deliverables without refund
- ✓ Acknowledge that payments are processed through carolzurita.com for administrative purposes
- ✓ Agree to the governing law (Singapore) and dispute resolution process
